1. ACCEPTANCE OF TERMS

Welcome to Firmquick. These Terms of Service (“Terms,” “Agreement”) govern your use of our website, services, and purchase of QuickBooks Desktop products including QuickBooks Pro, Premier, and Pro Plus (“Products”). By accessing our website, purchasing our products, or using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our services or purchase our products.

Firmquick is a California corporation located at 1548 9th St, Santa Monica, CA 90401. We specialize in selling QuickBooks Desktop Products as an authorized reseller of Intuit Inc.

2. DEFINITIONS
  • “Company,” “we,” “us,” “our” refers to Firmquick
  • “Customer,” “you,” “your” refers to the individual or entity purchasing products or using services
  • “Products” refers to QuickBooks Desktop software including Pro, Premier, and Pro Plus versions
  • “Services” refers to all services provided by Firmquick including sales, customer support, and technical assistance
  • “Website” refers to our online platform and associated digital properties
  • “License” refers to the software license granted by Intuit Inc. for QuickBooks products
3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3.2 Account Registration

To purchase products, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized use
  • Accept responsibility for all activities under your account
3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or for any other reason at our discretion.

4. PRODUCTS AND SERVICES
4.1 Product Offerings

Firmquick is an authorized reseller of QuickBooks Desktop products, including:

  • QuickBooks Pro
  • QuickBooks Premier
  • QuickBooks Pro Plus
  • Related accessories and add-ons
4.2 Product Descriptions

We strive to provide accurate product descriptions, specifications, and pricing. However, we do not warrant that product descriptions are error-free, complete, or current. Products may vary slightly from their descriptions.

4.3 Authorized Reseller Status

As an authorized QuickBooks reseller, we:

  • Sell genuine Intuit products only
  • Provide valid software licenses
  • Offer manufacturer warranty support
  • Maintain compliance with Intuit partner requirements
4.4 System Requirements

Customers are responsible for ensuring their systems meet the minimum requirements for QuickBooks Desktop products. System requirements are available on our website and in product documentation.

5. PRICING AND PAYMENT
5.1 Pricing

All prices are listed in U.S. dollars and are subject to change without notice. Prices do not include applicable taxes, shipping, or handling fees unless specifically stated.

5.2 California Sales Tax

As a California-based business, we are required to collect California sales tax on applicable transactions. Tax rates vary by location and product type.

5.3 Payment Methods

We accept various payment methods including:

  • Major credit cards (Visa, MasterCard, American Express)
  • PayPal
  • Business checks (for approved accounts)
  • Wire transfers (for large orders)
5.4 Payment Terms
  • Payment is due in full at the time of order unless other arrangements are made

6. ORDER PROCESSING AND FULFILLMENT

Your order constitutes an offer to purchase products. We reserve the right to accept or decline any order at our discretion. Order confirmation does not guarantee product availability.

6.2 Delivery Methods

We offer various delivery options:

  • Digital Download: Immediate delivery via email with download links and license keys
  • Physical Media: CD/DVD shipped via standard or expedited shipping
  • Cloud Access: For applicable products with cloud components
6.3 Delivery Timeframes
  • Digital products: Typically within 24 hours of payment confirmation
  • Physical products: 3-7 business days within the continental United States
  • International shipping: 7-21 business days depending on destination
6.4 Risk of Loss

Risk of loss transfers to you upon delivery. For digital products, delivery occurs when download links are provided. For physical products, delivery occurs when the carrier confirms delivery.

7. SOFTWARE LICENSING
7.1 License Grant

Upon purchase, you receive a license to use QuickBooks Desktop software subject to:

  • Intuit’s End User License Agreement (EULA)
  • The specific license terms for your purchased product
  • Applicable usage restrictions and limitations
7.2 License Restrictions

You may not:

  • Copy, modify, or distribute the software except as permitted by the license
  • Reverse engineer, decompile, or disassemble the software
  • Use the software for illegal purposes
  • Transfer the license without Intuit’s permission (where applicable)
  • Exceed the permitted number of users or installations
7.3 License Verification

Intuit may require periodic license verification. You agree to cooperate with such verification processes.

8. WARRANTIES AND DISCLAIMERS
8.1 Limited Warranty

We warrant that:

  • Products will be free from defects in materials and workmanship
  • Digital downloads will be virus-free when delivered
  • We have the right to sell the products we offer
  • Products will substantially conform to their descriptions
8.2 Manufacturer Warranty

QuickBooks products are covered by Intuit’s manufacturer warranty. We will assist with warranty claims but are not responsible for warranty performance.

8.3 DISCLAIMER OF WARRANTIES

EXCEPT AS EXPRESSLY STATED HEREIN, ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • TITLE
  • QUIET ENJOYMENT
8.4 California Civil Code Section 1791.1

Nothing in these Terms limits or excludes warranties that cannot be excluded under California law, including implied warranties for consumer goods.

9. RETURN AND REFUND POLICY
9.1 Return Eligibility

Returns are subject to the following conditions:

  • Returns must be requested within 30 days of purchase
  • Software must be unopened and unused (for physical media)
  • Digital products are generally non-returnable once downloaded
  • Custom or personalized products are non-returnable
9.2 Return Process

To initiate a return:

  3. Obtain return authorization number
  4. Ship products using provided return label (if applicable)
9.3 Refund Processing
  • Refunds will be processed to the original payment method
  • Processing time: 5-10 business days after receipt
  • Shipping charges are non-refundable unless the return is due to our error
  • Restocking fees may apply to certain returns

QuickBooks, Intuit, and related trademarks are owned by Intuit Inc. We use these trademarks under authorization as an approved reseller.

11.2 Website Content

All content on our website, including text, graphics, logos, and images, is owned by Firmquick or used under license. You may not reproduce, distribute, or create derivative works without permission.

11.3 Digital Millennium Copyright Act (DMCA)

We respect intellectual property rights and comply with the DMCA. If you believe your copyright has been infringed, please contact us at contact@firmquick.com.

12. LIMITATION OF LIABILITY
12.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

12.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • LOST PROFITS OR REVENUE
  • BUSINESS INTERRUPTION
  • LOSS OF DATA OR INFORMATION
  • PUNITIVE OR EXEMPLARY DAMAGES

12.3 California Law Considerations

Some California laws may not allow the exclusion or limitation of certain damages. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Firmquick and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of our products or services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations
14. PRIVACY AND DATA PROTECTION
14.1 Privacy Policy

Your privacy is important to us. Our Privacy Policy, which is incorporated by reference into these Terms, explains how we collect, use, and protect your information.

14.2 California Privacy Rights

15. DISPUTE RESOLUTION
15.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

15.2 Jurisdiction and Venue

Any disputes arising under these Terms shall be resolved in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of such courts.

15.3 Informal Resolution

Before initiating legal proceedings, we encourage you to contact us to resolve disputes informally. Many disputes can be resolved quickly and efficiently through direct communication.

15.4 Arbitration (Optional)

For disputes involving amounts under $10,000, either party may elect binding arbitration through the American Arbitration Association under its Commercial Arbitration Rules. California residents retain the right to pursue claims in small claims court.

15.5 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16. CALIFORNIA-SPECIFIC PROVISIONS
16.1 Unruh Civil Rights Act

We comply with California’s Unruh Civil Rights Act and do not discriminate based on protected characteristics in the provision of our services.

16.2 Automatic Renewal Law (SB-313)

For any subscription services, we comply with California’s automatic renewal law, including:

  • Clear disclosure of automatic renewal terms
  • Conspicuous presentation of cancellation policy
  • Easy cancellation mechanisms
  • Acknowledgment of automatic renewal terms
16.3 Song-Beverly Consumer Warranty Act

Hardware products sold to California consumers are subject to the Song-Beverly Consumer Warranty Act, which provides additional warranty protections.

16.4 California Lemon Law

For applicable products, California’s Lemon Law may provide additional consumer protections and remedies.

17. FORCE MAJEURE

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • War, terrorism, or civil unrest
  • Labor disputes or strikes
  • Internet or telecommunications failures
  • Pandemics or public health emergencies
18. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

19. MODIFICATION OF TERMS

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website unless otherwise specified.

  • Provisions that should survive termination will remain in effect
21. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and Firmquick regarding the subject matter herein. They supersede all prior agreements, understandings, and communications.

22. WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative.

23. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.

24. HEADINGS

The headings in these Terms are for convenience only and do not affect the interpretation of the provisions.
